According to the announcement, the plaintiffs in this lawsuit are Xiong Yan, Yuan Zhihe, and Yangzhou Yitu Management Consulting Center (Limited Partnership), with Yitu Dixin as the third party. The case originated from the equity transfer agreement signed between the company and the plaintiff in May 2021 regarding Jiangsu Yitu Geographic Information Technology Co., Ltd. At that time, the company acquired 70% of Yitu Dixin's shares through equity transfer and became its largest shareholder. The plaintiff now requests the company to acquire the remaining 30% equity of Yitu Dixin at a valuation of 216 million yuan in accordance with the relevant terms of the agreement.
The lawsuit request shows that the plaintiff requests the company to pay equity transfer fees of RMB 28751351, RMB 28751351, and RMB 7297298 to Xiong Yan, Yuan Zhihe, and Yangzhou Yitu Management Consulting Center respectively, totaling RMB 64.8 million; At the same time, the company is required to assist in handling the registration of equity changes, transfer the 30% equity of Yitu Dixin held by the plaintiff to the company's name, and bear all litigation costs.
After accepting the case, the court has ruled to freeze the company's deposits worth 64.8 million yuan or to seal or seize corresponding assets based on the plaintiff's application. However, as of the disclosure date of the announcement, the company has not actually frozen or seized any assets.
