Listing transfer of 21.59% equity, Inspur Cloud plans to exit Tu'an Century

On June 13th, the information of the external transfer of 21.59% state-owned equity of Tu'an Century was pre disclosed on the Shandong Property Rights Trading Center. The transferor is Tu'an Century's largest shareholder and controlling shareholder, Inspur Cloud Information Technology Co., Ltd. (hereinafter referred to as "Inspur Cloud"). After the completion of this transfer, the actual control of Tu'an Century will be transferred. It is worth noting that Tu'an Century issued a share repurchase announcement in December 2024, stating that based on confidence in future development, the company plans to use its own funds to repurchase no more than 8 million shares at a price of 2.9 yuan per share, accounting for no more than 22.85% of the total share capital. The repurchased portion will be offset and the registered capital will be reduced.

Tuan Century was established in April 2007 with a registered capital of 35.011 million yuan. It was listed on the New Third Board in December 2015. The company's main business includes the application and development of new technologies such as 3S (GIS, RS, GPS), digital twins, Internet of Things, and mobile Internet, and provides application software research and development, professional consulting, and data services for industries such as smart safety supervision, smart emergency, and smart factories.

At present, the equity structure shows that except for the controlling shareholder Inspur Cloud, the other 9 natural person shareholders hold a total of 78.41% equity. Among them, there are 4 people whose shareholding ratio exceeds 10%. Hu Huaibing is the legal representative, director, and general manager of the company, holding 21.34% of the shares. Liang Song is a director and vice chairman, holding 15.77% of the shares. Mo Jichang and Yuan Chongyang hold 13.15% and 10.22% of the shares, respectively.

In October 2022, Shanghai Inspur Cloud Computing Services Co., Ltd., a wholly-owned subsidiary of Inspur Cloud, injected capital into Tu'an Century and became the controlling shareholder, holding 21.59% of the shares. One year later, it was transferred to Inspur Cloud through an agreement.
